Terms and Conditions of Access
The following terms and conditions apply to your access to and use of the software on this website (the “Software”). You may not use the Software unless you agree to be bound by these terms and conditions: 1. General 1.1 Use of the Software is provided “as is” and all express and implied warranties are hereby excluded to the fullest extent legally permissible. No warranties are made regarding the results of the use of the Software, regarding non-infringement of any proprietary rights of third parties, or regarding availability of the use of the Software. The FMI reserves the right, at any time and without notice, to interrupt and/or discontinue access to the Software. You will use the Software at your own risk. You agree not to make any claims against the FMI or its licensor in respect of the Software’s performance or availability. 1.2 UNDER NO CIRCUMSTANCES SHALL THE FMI OR ITS LICENSOR BE LIABLE FOR ANY DAMAGES ARISING IN CONNECTION WITH THE SOFTWARE , WHETHER DIRECT OR INDIRECT, INCLUDING WITHOUT LIMITATION FOR LOSS OF DATA, LOSS OF PROFITS, OR BUSINESS INTERRUPTION, HOWEVER CAUSED AND ON ANY THEORY OF LIABILITY, WHETHER IN NEGLIGENCE OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. 1.3 The FMI and its licensor cannot guarantee that data sent to the FMI’s server, and results of the Software’s analysis of such data, will be kept confidential. 1.4 The Software may only be used via this site for non-commercial purposes. The Software may not be used via this site for Commercial Purposes, where “Commercial Purposes” shall include without limitation any use in connection with research and/or development programmes which are aimed at bringing commercial goods or services to market, and/or any use in connection with the provision of goods or services for valuable consideration. Commercial entities shall not use any results generated by the Software for any purpose other than to evaluate the Software. 1.5 Use of the Software in accordance with these terms and conditions is free of charge. 1.6 You agree that your access to the Software will be logged, and that the log file generated in connection with such access may be used to check that the Software is being used in accordance with these terms and conditions. The FMI will not use or disclose the log files for any other purpose. 2. Miscellaneous 3.1 This Agreement is governed by the laws of Switzerland, without regard to the conflict of laws principles thereof. The parties hereby submit to the exclusive jurisdiction of the ordinary courts of Basel-Stadt, Switzerland, without restricting any right of appeal. 3.2 Any delay or omission on the part of any party in the exercise of its strict rights hereunder will not impair those rights nor will it constitute a renunciation or waiver of those rights. Any waiver by any party of any term or condition of this Agreement in any one instance shall not be deemed or construed to be a waiver of such term or condition for any other instance in the future (whether similar or dissimilar) or of any subsequent breach hereof. 3.3 If any term or provision of this Agreement is held to be invalid or unenforceable, in whole or in part, under any applicable enactment or rule of law, such illegality or unenforceability shall not affect the remainder of this Agreement, and the parties shall in good faith attempt to substitute a valid and enforceable provision which achieves to the nearest extent possible the same effect as would have been achieved by the invalid or unenforceable provision. 3.4 You may use the Software only in accordance with all applicable laws and regulations. |
